Subscriber agreement

Latest amendment on 4/18/2025: "Mobile phone information will NOT be shared with third parties/affiliates for marketing/promotional purposes. By registering you are agreeing to receive SMS/Text messages for internal use only such as member meeting reminders and renewal notices."

The articles that follow form the subscriber agreement of the Washington Women Leaders Association. They are arranged by subject: preliminary matters first, then the rights granted to you, the duties you accept, the commitments and limits that apply to us, money matters, the legal framework, and finally amendments and correspondence.

Article I. Preliminary Matters

1.1 Nature of this document. This subscriber agreement (the "Agreement") is legally binding. It governs the conditions on which you may make use of material that you stream or download from this website.

1.2 Parties. Every webinar, seminar, conference, eBook, eDocument and other content item made available here (collectively, the "Content") is published by the Washington Women Leaders Association (the "Association"). Throughout this Agreement, the words "we", "us" and "our" mean the Washington Women Leaders Association.

1.3 Acceptance. You will have been invited to confirm your acceptance of these terms at one of two points: before your first access to the Content as a subscriber, or in a confirmation e-mail sent afterwards. You will be invited to confirm again whenever your subscription renews. Separately, every occasion on which you access the Content amounts to a fresh confirmation that you accept these terms. For that reason you should consult Article VII to find out whether anything has been revised since your previous visit.

1.4 Non-acceptance. Should you be unwilling to accept this Agreement, or should you lack authority to accept it for the business or employer on whose behalf you act, you must refrain from accessing or using any Content.

1.5 Record keeping. We suggest that you retain a copy of this Agreement for future reference.

Article II. The Rights Granted to You

2.1 Ownership. All intellectual property in the Content and in this website, including copyright and database rights, belongs to the Association or to those who license material to it. Nothing in this Agreement transfers that ownership to you.

2.2 Licence. Subject to the remainder of this Agreement, you are granted a non-exclusive right, for your own legitimate personal or business purposes, to do the following and nothing more:

  1. (a) obtain and view Content on any device compatible with it; and
  2. (b) in the case of Content offered for download, save one single copy to a storage device that is personal to you, a USB drive being an example. Saving to a shared drive, a shared server or any storage device attached to a network is not permitted.

2.3 Subscription levels. We may at any time offer more than one category or tier of subscription, and the Content and services open to you may differ according to the tier you purchase. The applicable tier will be identified to you at the point of purchase.

2.4 Reservation. ALL RIGHTS HELD BY THE WASHINGTON WOMEN LEADERS ASSOCIATION UNDER THIS AGREEMENT ARE IN ADDITION TO, AND WITHOUT PREJUDICE TO, ANY OTHER RIGHTS WE HAVE AT LAW, INCLUDING UNDER APPLICABLE COPYRIGHT LEGISLATION.

Article III. The Duties You Accept

3.1 Restrictions. You shall not, and shall not allow any third party to:

  1. (a) save to the extent Article 2.2 expressly allows it, copy, reproduce, broadcast, transmit, modify, abstract, make derivative works from, store, archive, aggregate, display in public, redistribute, share, forward, license, sub-license, publish or sell any Content, or exploit it commercially in any manner whatsoever;
  2. (b) disclose to any individual or other third party your username, your password or any other details used to gain access to the website (together, your "ID");
  3. (c) allow your ID to be used by more than one person, whether over a network, inside an organization or otherwise;
  4. (d) delete or obscure any copyright notice or trade mark notice that appears in the Content;
  5. (e) frame, harvest or scrape the Content, or engage in any comparable activity; or
  6. (f) put the Content to any use that is unlawful.

3.2 Trade mark. You acknowledge that the name "Washington Women Leaders Association" is our trade mark. You may use it only with our prior written permission.

3.3 Registration details. To become a subscriber you must give us registration information about yourself that is complete and accurate. Keeping that information current is your responsibility; changes should be sent to us at service@BizSummits.org.

3.4 One user. A subscription may be used by one person only. Where you have obtained your subscription for use at a company or other organization that employs or engages you, you also accept this Agreement on behalf of that organization, and you and the organization are jointly responsible for ensuring the Content is used in compliance with it. Each individual user within an organization needs a subscription of their own.

3.5 Security of your ID. You are accountable for every use of the Content made through your ID, whether by you or by anyone else, and for taking steps to prevent its unauthorized use. If you want to change your ID, or if you suspect a security breach, including theft, disclosure or unauthorized use of your ID or of any payment details, you must inform us without delay by e-mail to service@BizSummits.org.

3.6 Use within scope. Any use you make of the Content outside the boundaries of this Agreement is your own responsibility and not ours.

Article IV. Our Commitments and Their Limits

4.1 Importance. Please read this Article with care. It defines the extent, if any, to which the Washington Women Leaders Association accepts legal responsibility (liability) to you in connection with your use of the Content.

4.2 Our sole undertaking. We will endeavour to develop the Content and to run this website using reasonable skill and care, and we will make reasonable efforts to correct any fault that comes to our attention. That is the only undertaking we give concerning the Content and this website.

4.3 Processing. We will aim to deal with your subscription application promptly. We do not, however, guarantee that the Content will be accessible to you within any particular time after your purchase.

4.4 Basis of supply. This website and the Content are supplied "as is" and "as available". We give no assurance as to the availability, quality, security, completeness or accuracy of either, nor that either is free of viruses or anything of a similar nature.

4.5 Excluded matters. We bear no liability to you for events outside our reasonable control, for the internet, for acts of God or for the acts of third parties. Nor do we accept any liability to you for the Content or this website where you have paid no subscription fee.

4.6 Information only. The Content is provided for general information and use and is not designed to meet your individual needs. It is not advice, a recommendation, a representation or an endorsement of any kind, and users should not rely on it when deciding whether or not to take any particular business, investment or other decision.

4.7 Disclaimer. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM EVERY WARRANTY, REPRESENTATION, CONDITION AND DUTY OF WHATEVER KIND, INCLUDING, WITHOUT LIMITATION, ANY WARRANTY OF SATISFACTORY QUALITY, OF MERCHANTABILITY OR OF FITNESS FOR A PARTICULAR PURPOSE.

4.8 Cap. OUR FINANCIAL RESPONSIBILITY TO YOU, WHETHER ARISING FROM YOUR USE OF THE CONTENT OR OTHERWISE IN CONNECTION WITH THIS AGREEMENT, IS RESTRICTED TO DIRECT DAMAGES ONLY AND SHALL NOT EXCEED AN AMOUNT EQUAL TO THE PRICE YOU PAID FOR YOUR SUBSCRIPTION.

4.9 Beneficiaries. THE LIMITATIONS OF LIABILITY SET OUT IN THIS ARTICLE IV OPERATE FOR THE BENEFIT OF THE WASHINGTON WOMEN LEADERS ASSOCIATION, ITS AFFILIATES AND EACH OF THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUCCESSORS AND ASSIGNS.

4.10 Exceptions. No provision of this Agreement excludes or restricts our liability for death or personal injury resulting from negligence, for fraud or fraudulent misrepresentation, or for any other liability that the law does not allow to be limited or excluded.

Article V. Money Matters

5.1 Payment details. On subscribing you must supply complete and accurate payment information and agree to pay the rates in force on the date of your subscription. When you give us card details, you warrant that you are entitled to buy a subscription with that card.

5.2 Currency and tax. All charges are made in US dollars. Applicable taxes may also be payable by you.

5.3 Failed payment. If payment or payment authorization does not reach us on time, or if an authorization is later cancelled or declined, we may suspend your access to the Content or end your subscription with immediate effect.

5.4 Terms and duration. Different payment arrangements and subscription lengths may be offered, and the ones that apply to you will be made clear when you subscribe.

5.5 Automatic renewal. An annual subscription renews for a further year unless, before the current annual period ends, you tell us that you no longer want it. The renewal will be charged to the card or other payment method you used previously.

5.6 Immediate commencement. In placing an order you agree that your subscription may begin as soon as we accept the order. Consequently, once we have given you access, no refund is due if you change your mind.

5.7 Cancellation by you. Apart from the position described in Article 5.6, you have no right to cancel all or part of your subscription before the current subscription period expires. You may give notice of an intention to cancel at any time, but it takes effect only when the current period ends, and no refund will be given other than in the limited cases these terms describe. Notice of cancellation may be given to our Customer Services team at service@BizSummits.org.

5.8 Suspension or termination by us. We may suspend or end your subscription, with or without notice and without further obligation to you, if you breach these terms. We may do likewise where circumstances outside our control prevent us from serving you. In particular, if you use the Content in breach of Article III, the Association may cancel your subscription or suspend your access to the Content. We also reserve the right to monitor your use of any Service.

5.9 Pro rata refund. Where we end your subscription for any reason, or permanently stop publishing the Content, or stop providing subscription services, we will, save in exceptional circumstances, make a pro rata refund to your credit card. That refund covers any sums paid to us in advance for the remaining, unexpired part of your subscription.

5.10 Changes to the offering. The Washington Women Leaders Association may alter the Content, the services or any subscription tier at any time.

Article VI. Legal Framework

6.1 Governing law. The laws of the State of Delaware, United States of America, govern this Agreement and its interpretation, without reference to any principles concerning conflict or choice of laws.

6.2 Courts. You and we irrevocably agree that the appropriate federal or state court in Delaware has exclusive jurisdiction over any dispute arising out of, under or in connection with this Agreement.

6.3 Arbitration. Any legal action that arises from or relates to your subscription to, use of or purchase of our products or services shall proceed by arbitration under the rules of the American Arbitration Association in Atlanta, Georgia. The party filing (the plaintiff) shall bear all arbitration filing and hearing costs, and each party shall pay its own legal fees.

6.4 Assignment. You may not assign, sub-license or in any other way transfer your rights under this Agreement. You agree that we may, without your consent, assign any of our rights, or delegate any of our duties or obligations, to a third party in connection with a merger, reorganization, consolidation, sale of assets or similar transaction.

6.5 Severability. If a court of competent jurisdiction holds any provision of this Agreement invalid, the remaining provisions shall continue in full force and effect and their validity shall be unaffected.

6.6 Waiver. A failure by either party to exercise a right or remedy under this Agreement is not a waiver of it.

6.7 Headings. Article and clause headings are included for convenience alone and carry no legal meaning or effect.

6.8 Whole agreement. This Agreement is the entire agreement between you and the Washington Women Leaders Association concerning the Content. It supersedes all prior agreements, arrangements, representations and communications, oral or written.

Article VII. Amendments

7.1 Current version. The present version of this Agreement was published on October 18, 2026. With immediate effect it replaces the subscriber agreement published before it.

7.2 Future changes. We may revise this Agreement from time to time and will record the date of any revision in this Article. You are advised to check this Article regularly for updates.
